1. Acceptance of Terms

By accessing or using MarketingHub ("the Platform," "the Service"), you ("User," "Company Owner," or "Company Employee") agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. These Terms form a legally binding agreement between you and Chronex Technologies.

If you do not agree with any part of these Terms, you must not access or use the platform. Continued use of MarketingHub after any updates to these Terms constitutes acceptance of the revised Terms.

2. About MarketingHub

MarketingHub is a SaaS (Software as a Service) platform developed and operated by Chronex Technologies. It is designed to help businesses manage marketing campaigns, capture and manage leads from platforms such as Facebook/Meta Lead Ads, organize follow-ups, and track performance from a single dashboard.

The platform supports multi-level access including a Super Admin (Chronex Technologies), Company Owners, and Company Employees with role-based permissions.

3. User Accounts and Responsibilities

3.1 Registration

To use MarketingHub, Company Owners must register an account and provide accurate, complete, and current information. You are responsible for keeping your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at info@chronextechnologies.com if you suspect any unauthorized use of your account. Chronex Technologies is not liable for any loss resulting from unauthorized access due to your failure to secure your credentials.

3.3 Company Owner Responsibilities

As a Company Owner, you are responsible for:

• Inviting and managing your company's employees and their access levels
• Assigning appropriate roles and permissions to team members
• Ensuring all employees using the platform comply with these Terms
• All activities conducted under your company account
• The accuracy of the lead and campaign data managed within your account

3.4 Role and Permission Management

MarketingHub supports role-based access control. Company Owners can create roles and assign specific permissions. It is the Company Owner's responsibility to ensure that permissions are granted appropriately and reviewed periodically.

4. Subscription and Payment Terms

4.1 Subscription Plans

MarketingHub is offered under various subscription plans. Plan details, including pricing, features, and limitations, are described on our Pricing page. Chronex Technologies reserves the right to modify, add, or discontinue plans at any time, with reasonable notice to existing subscribers.

4.2 Payment

Subscription fees are billed in advance according to the billing cycle of your selected plan. Payments are processed through our authorized payment gateway. By subscribing, you authorize us to charge your selected payment method for the applicable fees.

4.3 Renewals and Cancellations

Subscriptions renew automatically at the end of each billing cycle unless cancelled. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused portions of a subscription period unless required by applicable law.

4.4 Failed Payments

If payment fails, we may suspend or restrict access to the platform until the outstanding amount is resolved. We will notify you before any suspension occurs.

4.5 Taxes

All fees are exclusive of applicable taxes. You are responsible for any taxes, duties, or levies applicable to your subscription based on your jurisdiction.

5. Acceptable Use Policy

By using MarketingHub, you agree NOT to:

• Use the platform for any illegal, fraudulent, or unauthorized purpose
• Send spam, unsolicited messages, or communications that violate applicable anti-spam laws
• Create or run campaigns that are deceptive, misleading, or violate the policies of Facebook/Meta or any other connected platform
• Misuse or abuse Facebook/Meta APIs or violate Meta's Platform Terms and Developer Policies
• Collect or process personal data of individuals without their knowledge or consent
• Upload, transmit, or distribute malware, viruses, or any malicious code
• Attempt to gain unauthorized access to other accounts, systems, or data within the platform
• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Use the platform to harass, defame, or harm any person or organization
• Impersonate any person, company, or entity
• Violate any applicable local, national, or international law or regulation

Chronex Technologies reserves the right to suspend or terminate any account found to be in violation of this Acceptable Use Policy without prior notice.

6. Lead and Customer Data Responsibility

MarketingHub provides tools to store and manage lead and customer data on behalf of Company Owners. As the entity collecting lead data (for example, through Facebook Lead Ads), you are the data controller and are responsible for:

• Ensuring you have a lawful basis for collecting and processing lead data
• Providing appropriate privacy notices to the individuals whose data you collect
• Complying with applicable data protection laws, including GDPR, India's Personal Data Protection rules, and any other laws applicable to your jurisdiction and business
• Responding to data subject requests related to the lead data you manage in your account

Chronex Technologies acts as a data processor on your behalf for the lead and customer data you manage within the platform. We process this data only as instructed and in accordance with our Privacy Policy.

7. Third-Party Integrations

MarketingHub integrates with various third-party services to provide its features. These include but are not limited to:

• Facebook/Meta: For Lead Ads integration and campaign data
• WhatsApp Business API: For customer messaging
• Email Service Providers: For campaign and notification emails
• SMS Gateways: For SMS communication features
• Payment Gateways: For subscription billing
• Cloud Hosting Providers: For platform infrastructure
• Twilio: For call and communication features

Your use of these integrations is also subject to the terms and policies of those third-party providers. Chronex Technologies is not responsible for:

• Service outages, errors, or downtime caused by third-party services
• Changes to third-party APIs or policies that affect platform functionality
• Data handling practices of third-party services beyond our control

We will make reasonable efforts to notify users of significant changes to third-party integrations that affect the platform.

8. Intellectual Property

All intellectual property rights in the MarketingHub platform, including its design, code, features, logos, trademarks, and content, are owned by or licensed to Chronex Technologies. Nothing in these Terms transfers any intellectual property rights to you.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the platform solely for your business purposes in accordance with these Terms. You may not copy, reproduce, distribute, or create derivative works from the platform without our prior written consent.

You retain ownership of the data you upload or generate within the platform, including your lead and campaign data.

9. Privacy

Your use of MarketingHub is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to the collection and use of data as described in the Privacy Policy.

10. Service Availability

We aim to provide reliable, uninterrupted access to MarketingHub. However, we do not guarantee that the platform will always be available, error-free, or uninterrupted. We may perform scheduled or emergency maintenance that temporarily affects availability. We will provide reasonable advance notice for planned maintenance where possible.

Chronex Technologies is not liable for any loss or inconvenience resulting from platform downtime, errors, or technical issues outside of our reasonable control.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• MarketingHub is provided "as is" and "as available" without warranties of any kind, either express or implied.
• Chronex Technologies does not warrant that the platform will meet your specific requirements or that it will be free of errors at all times.
• In no event shall Chronex Technologies be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the platform.
• Our total liability to you for any claim arising from these Terms shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the claim.

12. Account Suspension and Termination

Chronex Technologies reserves the right to suspend or terminate your account, with or without notice, for any of the following reasons:

• Violation of these Terms or our Acceptable Use Policy
• Non-payment of subscription fees
• Fraudulent, illegal, or harmful activity
• Misuse of connected third-party APIs including Facebook/Meta APIs
• Upon request by relevant legal or regulatory authorities

You may terminate your account at any time by contacting us at info@chronextechnologies.com. Upon termination, your access to the platform will cease, and your data will be handled in accordance with our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices, or applicable law. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, by sending an email notification or displaying a notice within the platform. Your continued use of MarketingHub after any changes constitutes your acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or your use of MarketingHub shall be subject to the exclusive jurisdiction of the courts located in India.

We encourage you to contact us first to resolve any disputes amicably before pursuing formal legal action.
